GENERAL TERMS AND CONDITIONSOF SALE
1) Onplacingtheordersthepurchaserfullyandtacitacceptsourconditionsofsaleandofdeliverymentionedhereunder.
2) Our prices are intended ex factory. The prices shown in our pricelist are subject to change and are not binding. All orders are valid only after our written order
3) The terms of payment in the invoice are peremptory: under no circumstances of the terms of payment, that have not been previously agreed, will be accepted. Only payments transferred to our domicile in Gualtieri are considered cleared, except for special agreements. All delayed payments will be subject to the charge of bank interests. In case payments should not be made on time and within the agreed terms, it is up to us to interrupt the deliveries and any outstanding order. No payments can be postponed due to eventual disputes. Supplements to orders or made by the purchaser will be accepted only if written.
4) The delivery time is approximate and not binding, being dependent on the possibilities of the moment. The non-observance of the deli- very time gives no right to the purchaser to cancel the order, postpone the payment or claim for damages, compensantions or penalties. What mentioned obove is also to be applied when the nonobservance of the delivery time is due to the lack of raw materials, failure in the machinery and equipment, strikes, lockouts, work stoppage and delays during transport.
5) Packaging: packaging is invoiced according to its cost and returns are not accepted. Even if our packaging is made and prepared by skilled staff, in no case ARCA accepts liability for the packaging.
6) Goods are always sent at the purchaser’s risk, also when shipments are paid by the supplier and in no case ARCA accepts liability
for delays, damages, breakdowns or shortages arisen during transport. It is up to the purchaser to send the eventual claims to
the forwarder, also if the forwarder has been chosen by the supplier. When you receive the goods, it is always suggestable to write on the forwarder’s copy of the bill of lading “goods accepted under reserve”. ARCA reserves the right to charge the purcha-
ser with all additional costs (e.g. demurrages, loading and unloading operations) eventually paid to the carrier.
7) All our products are carefully tested. Our liability for the quality of the products is restrained to the acceptance of the return of the faulty pieces, free delivered and upon our previous authorization, in order to replace them. ARCA does not have pay any compensation.
ARCA does not assume liability for products, that have been wrongly handled. No claim due to an improper installation of faulty material will be accepted. It is absolutely forbidden to the purchaser to proceed with further working processes on our products.
We must be informed of any eventual failure in the product within 10 days from the delivery.
8) Explanations and pictures, that appear in our catalogue and brochures, have the purpose to show the single products and therefore our production is not intended to comply faithfully to what described. Details, sizes, and weights are approximate. We do not assume any liability for what mentioned above and consequently we will not accept any claim kind of damages. ARCA reserves the right to change the technical features of its products and to modify or put them out of production at any time. This catalogue cancels and replaces all the previous ones.
9) Any dispute falls within the cognizance of the Reggio Emilia lawcourt only, also in case of orders, that have been issued somewhere else. tatements or warranties of any kind undertaken by our employees, agents or representatives, that are not included in these con- ditions of sale or in any act of the Company, do not have any value.
10) ARCA remains the owner of the goods delivered until payment has been received. ARCA products, that are carefully tested before being put on the market, are guaranteed to be free from manufacturing defects for two (2) years. The warranty includes:
1) The repair or replacement of the defective part after it has been tested by our technical department und upon presentation of the purchase proof, as evidence of the date of purchase.
This warranty is no longer valid in the following cases:
1) Damage of the surfaces due to the use of abrasive cleaning products containing acids
2) Damage caused by wrong installation
3) improper repairs and maintenance made without the previous authorization of the supplier.
The warranty does not include: the labour charges paid for the replacement of the defective parts and the claims for the direct or indirect damages. ARCA warranty can not be renewed.
